CONDITIONS OF REGISTERING

  1. By registering with us to view our collections you understand and agree that we may from time to time check registration details to verify who is viewing our collections and that we reserve the right to cancel and delete from our database any login details at any time, for any reason and without any notice.

CONDITIONS OF SALE

  1. The parties to this contract are J. R. International Ltd. (the seller) and the customer named on sales order or customer's purchase order (the buyer).
  2. The risk in the goods shall pass to the buyer at the point and time of delivery referred to in this contract, the seller shall have no responsibility for the safety of the goods thereafter.
  3. Notwithstanding delivery title of the goods supplied shall only be transferred when the buyer has paid for the goods in full to the seller. If any payment is overdue whether under this or any other contract between the seller or the buyer the seller may without prejudice to any other rights of the seller recover or recall any or all of the goods the title to which remains the property of the seller by agents duly appointed to enter the buyers premises for that purpose, in the event of the goods being sold on by the buyer claims for the proceeds from the re-sale are deemed to be assigned to the seller. On demand by the seller the buyer shall disclose the assignment to the sub-purchaser.
  4. If in circumstances without any limitation non-delivery or delay by the seller's suppliers and all other circumstances of whatever kind which affect the seller's ability to carry out its obligations, the seller shall be absolved from all responsibility and therefore reserves the right at its own discretion fully or partly to cancel the contract or to postpone delivery, such cancellation or delay shall be without prejudice to the seller's rights to recover all sums due. There shall be no liability or compensation to the buyer for any cancellations or delay and the buyer shall have no right to cancel the contract or any outstanding balance thereof.
  5. If for any other reason other than the default of the seller, the buyer shall fail to take delivery of the goods in accordance with this contract payment for the goods shall still be made by the buyer as if delivery had been taken, to this the addition of expenses for storage, transport and any losses incurred by the seller shall be added to the price of the goods. The seller shall not accept any cancellation of the goods ordered if the seller or the seller's suppliers have incurred any costs on the buyer's behalf as to the manufacture or any other costs involved in the goods.
  6. The delivery date or dates (if any) stated overleaf is/are estimated only and the seller shall not incur any liability for failure to observe it/them.
  7. Where goods are delivered by instalments or parts each instalment or part delivered shall be paid for in accordance with terms specified in this contract.
  8. The buyer shall examine all goods immediately upon receipt, the seller will not be liable for faults, damages or shortages unless notified in writing within 7 days of receipt of goods by the buyer, nor will the seller accept any returns for whatever reason after 6 weeks of the receipt of the goods by the buyer.
  9. The seller shall not be responsible for any losses incurred by the buyer arising from the third party claim.
  10. The seller reserves the right to adjust prices without notice to cover any increase in costs that are beyond the seller's control.
  11. In the event of Bankruptcy, insolvency or default of payment the seller shall have the right of retention of the goods as stated in clause 3 of this contract the seller also reserves the right to require payment in full on pro-forma invoice before delivery of the goods, or at the seller's discretion require a cash deposit from the buyer.
  12. Time of payment shall be of the essence, if payment is not made on the due date interest will be charged by the seller at the rate of 5% above the Bank of England Minimum Lending Rate for the time being from the date for payment to the actual date of payment.
  13. This contract shall be construed in accordance with the Laws of England, and the buyer hereby submits to the jurisdiction of the appropriate English Courts.
